Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by FSIT Solutions (a subsidiary of NBOYD Holdings LLC) ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

FSIT Solutions provides managed IT services including but not limited to:

• Google Workspace administration and hosting
• Domain name registration and management
• Dedicated VPS hosting and management
• AI-powered voice and chat agents
• Business phone and SMS services
• IT helpdesk and technical support
• Network monitoring and security
• Workflow automation and integration

3. Account Registration

To use our services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Billing and Payment

• Services are billed monthly unless otherwise agreed in writing
• Usage-based services (AI, voice, SMS) are billed based on actual consumption plus applicable markup
• Fixed-rate services (hosting, domains, Workspace) are billed at the agreed monthly or annual rate
• Payment is due upon receipt of invoice. Late payments may incur a 1.5% monthly fee
• All prices are in US Dollars (USD)
• We may adjust pricing with 30 days written notice

5. Service Level

We strive to maintain 99.9% uptime for all managed services. Scheduled maintenance will be communicated at least 24 hours in advance when possible. We are not liable for downtime caused by third-party providers (Google, Hostinger, etc.), force majeure events, or customer-initiated changes.

6. Data Ownership

You retain full ownership of your data. We do not claim any intellectual property rights over content you store, process, or transmit through our services. Upon termination, we will provide reasonable assistance to export your data.

7. Acceptable Use

You agree not to use our services to:

• Violate any applicable law or regulation
• Send spam, malware, or engage in phishing
• Infringe on intellectual property rights
• Attempt to gain unauthorized access to systems
• Consume excessive resources that degrade service for others

Violation may result in immediate suspension or termination of services.

8. Termination

Either party may terminate services with 30 days written notice. We may terminate immediately for violation of these terms or non-payment exceeding 30 days. Upon termination:

• Access to services will be suspended
• Data will be available for export for 30 days
• After 30 days, data will be permanently deleted
• Outstanding balances remain due

9. Limitation of Liability

To the maximum extent permitted by law, FSIT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FSIT Solutions, its affiliates, and their respective officers, directors, and employees from any claims arising from your use of the services or violation of these terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Shelby County, Tennessee.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the portal. Continued use of services after changes constitutes acceptance.
