End User License Agreement

1. Acceptance of Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and FSIT Solutions (a subsidiary of NBOYD Holdings LLC) ("we," "us," or "our") governing your use of our software, connector applications, and services (collectively, the "Software"). By installing, accessing, authorizing, or using the Software, you agree to be bound by this EULA and our Terms of Service and Privacy Policy.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business operations and only as expressly permitted by this EULA. You may authorize the Software to read, write, and otherwise process data from connected third-party accounts (such as QuickBooks Online, Google Workspace, Stripe, etc.) only to the extent necessary to deliver the services you have requested.

3. Restrictions

You may not:

  • Reverse-engineer, decompile, or disassemble the Software
  • Resell, sublicense, or redistribute the Software without prior written consent
  • Use the Software to violate applicable law, infringe intellectual property, or transmit malware
  • Use the Software to access third-party data you are not lawfully entitled to access
  • Remove or alter any copyright, trademark, or proprietary notice

4. Third-Party Integrations

The Software may connect to third-party services (e.g., QuickBooks Online, Google Workspace, Stripe, Twilio). Your use of those third-party services is governed by their respective terms. We act on your behalf only with the access scopes you explicitly authorize and store the minimum credentials necessary to perform the requested operations. You may revoke any third-party authorization at any time, after which the Software will lose access to that service.

5. Data Ownership and Privacy

You retain full ownership of your data and the data of any third-party accounts you connect. We do not claim any intellectual property rights over content you store, process, or transmit through the Software. Our handling of your information is described in our Privacy Policy.

6. Updates and Changes

We may update the Software at any time to add features, fix bugs, improve security, or comply with applicable law. Some updates may be applied automatically. We will use commercially reasonable efforts to notify you of material changes that affect your use.

7. Termination

This EULA remains in effect until terminated. You may terminate it at any time by uninstalling the Software, revoking authorizations to connected third-party services, and discontinuing use. We may terminate this EULA immediately if you violate any of its terms. Upon termination, all licenses granted to you cease and we will revoke access to the Software.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FSIT SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

10. Governing Law

This EULA is governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in Shelby County, Tennessee.
